SUPER JACKPOT SWEEPSTAKES

OFFICIAL RULES

NO PURCHASE OR SUBSCRIPTION NECESSARY. PURCHASE/SUBSCRIPTION WILL NOT IMPROVE CHANCES OF WINNING.

ELIGIBILITY:
1. The Jackpot Rewards' Super Jackpot Sweepstakes ("Sweepstakes") is offered and open to legal residents of the United States, its territories and possessions (except Puerto Rico), Canada (except Quebec) and other countries and jurisdictions provided that their participation is not prohibited by applicable law who are at least 18 years old at the time of participation. Any person who is an employee, officer, or director of Jackpot Rewards, Inc. ("Jackpot Rewards") or is directly connected with the management of the Sweepstakes, the Sweepstakes computer systems, or the Sweepstakes security systems is not eligible. This Sweepstakes is void in any jurisdiction where prohibited.
2. Participation in the Sweepstakes constitutes entrant's (and if entrant is a minor in the jurisdiction in which entrant resides, entrant's parent/legal guardian) full and unconditional agreement to, and acceptance of, these Official Rules including the agreement that all decisions of Jackpot Rewards are final and binding in all respects on all entrants. Winning a prize is contingent upon entrant fulfilling all requirements set forth in these Official Rules.
PROMOTION PERIOD:
The Promotion Period ("Promotion Period") for the Sweepstakes begins on February 21, 2009 at 12:00:01 a.m. United States Eastern Time (ET) and will end on August 21, 2009 at 11:59:59 p.m. (ET), unless it ends sooner as provided; specifically, if for any Monday/Wednesday/Friday drawing (as those drawings are described below) any participant has either selected, or the random selection computer has selected for that participant, the exact same 5 white numbers and the exact same red number as the randomly selected winning 5 white numbers and the winning red number, the Promotion will end. The first Monday/Wednesday/Friday drawing will take place on Monday, February 23, 2009.

A calendar week begins on Monday at 12:00:01 a.m. (ET) and ends the following Sunday at 11:59:59 p.m. (ET) ("calendar week"). A day begins at 12:00:01 a.m. (ET) and ends the following 11:59:59 p.m. (ET). All times in these Rules shall be United States Eastern Time (ET). Whether that time is Eastern Standard Time or Eastern Daylight Savings Time will depend on the change of time dates that occur during the Promotion Period. The Sweepstakes computer is the official time keeping device for the Sweepstakes and the Promotion Period.

As used in these Rules the term Monday/Wednesday/Friday drawing means three separate and distinct drawings, one held on Monday, one held on Wednesday and one held on Friday of each calendar week during the Promotion Period. A separate and distinct entry is required for each drawing. An entry into any one drawing will not be carried forward to any other Monday/Wednesday/Friday drawing.
HOW TO PARTICIPATE - OVERVIEW:
There are two (2) ways to participate, (i) by registering for or purchasing a subscription to Jackpot Rewards, or any other product or service that Jackpot Rewards, its subsidiaries, affiliates, or partners may offer that provide for entry into the Sweepstakes; or (ii) by mail without subscribing to Jackpot Rewards. Subscribers can participate utilizing both methods if subscribers desire to do so.

Jackpot Rewards is a subscription based program that automatically renews unless the subscriber cancels his/her subscription. Jackpot Rewards' subscribers may, but are in no way obligated, to participate in the Sweepstakes. Subscribers who choose to register to participate in the Sweepstakes are (but only as and if provided in these Official Rules) automatically entered into the next drawing of the Sweepstakes, unless a subscriber cancels his/her subscription on or before 11:59:59 p.m. (ET) the night before the next Monday/Wednesday/Friday drawing. Subscribers who wish to cancel their subscription can do so at any time by following the on-line instructions at www.jackpotrewards.com ("Web site").
PARTICIPATION IN THE SWEEPSTAKES:
1. Subscription Entries:
  1. By Registering for or Purchasing a Jackpot Rewards Subscription or any other product or service that Jackpot Rewards, its subsidiaries, affiliates, or partners may offer that provide for entry into the Sweepstakes. This includes any free trial subscriptions that Jackpot Rewards may offer directly or indirectly through a subsidiary, affiliate, or partner: After you register for a Jackpot Rewards subscription you are provided access to the Sweepstakes registration page. You may, but are in no way obligated to, participate in the Sweepstakes. For Existing Subscribers: Subscribers to Jackpot Rewards prior to February 21, 2009 ("Existing Subscribers") will be notified by email (at the email address then currently on file with Jackpot Rewards) provided such subscribers are also subscribers on the date the email is sent giving notice of the commencement of this Sweepstakes. The email will contain a link to these Official Rules. Notice of the new Official Rules will also be posted on the Jackpot Rewards web site. For New Subscribers: At the Sweepstakes registration page you have the choice of selecting 5 different white numbers from 1 to 70 and one red number from 1 to 70, or, clicking the "quick pick" box in which case the random selection computer will randomly select those numbers for you. There will be a link to the Sweepstakes Official Rules. You must check the box to confirm that you have read and agree to the Sweepstakes Official Rules. You will also be given the option of providing your home phone number and mobile phone number if you desire to do so. Providing phone numbers will have no affect on your ability to participate or win. You must then click on the "submit" button. When your number selection is received and recorded by Jackpot Rewards computers, you will receive one entry in the next drawing of the Sweepstakes (but only as and if provided in these Official Rules) and you will automatically be entered into each of the Monday/Wednesday/Friday Sweepstakes drawings for the Promotion Period unless you cancel your subscription. For Existing Subscribers the 5 different white numbers from 1 to 70 and one red number from 1 to 70 played by the subscriber in the final Monday/Wednesday/Friday drawing in the Jackpot Rewards Super Jackpot Sweepstakes ending February 20, 2009 will be the same numbers for the subscriber in the first Monday/Wednesday/Friday drawing in this Sweepstakes, unless the subscriber has changed those numbers as provided in these Rules or canceled their subscription. Subscribers who wish to cancel their subscription can do so at any time by following the on-line instructions at the Web site.
    
    If you neither select the numbers nor click the "quick pick" box, you will not be registered for the Sweepstakes at that time and until you register to participate. You can, however, return to the Sweepstakes registration page at any time during your Jackpot Rewards subscription and register as a participant in the Sweepstakes from that time forward. If you did not register to participate in the Sweepstakes and then return to register and participate in the Sweepstakes you forfeit participation in those drawings for which you did not register.
    
    If an individual subscribes to Jackpot Rewards, and chooses to be entered into the Sweepstakes drawings, that individual will be entered into the next drawing, provided that the numbers selected are received and recorded by Jackpot Rewards' computers by 1:00 p.m. (or at a time as soon thereafter as practical as solely determined by Jackpot Rewards) on the day of a drawing. If, however, the numbers are received and recorded by Jackpot Rewards' computers after 1:00 p.m. (or after the new time as permitted above) on the day of the drawing, that individual will not be entered into that day's drawing, but will be entered into the next Monday/Wednesday/Friday drawing.
    
    Jackpot Rewards subscribers may register to participate in the sweepstakes beginning 5 business days prior to the beginning date of the Promotional Period stated in Rule 2, above.
  2. Changing Your Numbers: The numbers selected either by or for you will remain your numbers for each drawing unless you return to the Web site and follow the directions to change those numbers. You will be required to access the Sweepstakes registration page and enter the user name and password you selected when you registered for the Jackpot Rewards subscription. If you wish to change your numbers at any time, the change must be received and recorded by Jackpot Rewards' computers by 11:59:59 p.m. the day before the drawing for which the change is intended (or at a later time on the day of the drawing as solely determined by Jackpot Rewards). If your change is not received and recorded by that time you will not be able to change your numbers until after that night's drawing has been completed and the numbers you wished to change to will be your numbers for the next drawing.
  3. Canceling Subscription: If an individual elects to cancel his/her Jackpot Rewards subscription prior to any drawing, (i) so long as the cancellation is received and recorded by Jackpot Rewards computers prior to 11:59:59 p.m. of the day prior to the day of the drawing (or at a later time on the day of the drawing as solely determined by Jackpot Rewards), that individual will not be entered into that next day's drawing, but, (ii) if the cancellation is received and recorded by the Sweepstakes computer at or after 12:00:01 a.m. on the day of the drawing that individual will receive an entry into that day's drawing, but will not receive an entry into any further drawings.
  4. Verifying Account Numbers: When you register for the Jackpot Rewards subscription, a customer Account will be established for you. As long as you remain a Subscriber and this Sweepstakes remains in effect, you will be able to access that Account and view your white and red jackpot numbers. To access your Account you will be required to enter the user name and password you selected when you registered for the Jackpot Rewards subscription. (If at any time you forget your user name or password, you may gain access to it by following the instructions on the Web site. You are solely responsible for the security of your password. You should take precautions to keep it private to prevent unauthorized use. Neither Jackpot Rewards nor any other person or entity will be responsible for any losses, damages or consequences you may suffer due to careless or unauthorized use of a user name or password.) While Jackpot Rewards strives to assure that the white and red numbers shown in any Account are current and valid at all times, there is a possibility, due to possible technical or other error or limitation, that the posted numbers may not be accurate at all times. However, prior to the determination of the status of all numbers for all entrants in all drawings, the actual numbers for every participant will be verified for accuracy.
2. Mail-In Entries/To Play Without Subscribing To Jackpot Rewards: To participate without purchasing a Jackpot Rewards subscription, an entrant must neatly hand print in blue or black ink on a white 3 inch by 5 inch card or piece of paper your first and last name, your complete mailing address with zip or postal code, your daytime phone number, and e-mail address if you have access to e-mail. Mail the card or paper in a first class postage paid (metered mail is not accepted) envelope to: Jackpot Rewards, P.O. Box 8369, Elmhurst, IL 60126. While you may enter as often as you wish there is a limit of one card or piece of paper per postage stamped outer mailing envelope, and each outer mailing envelope must be hand printed. Further, the entrant's hand printed truthful return address must appear in the outer mailing envelope's upper left corner. No copies, facsimiles or reproductions or preprinted return address labels will be accepted. When your outer envelope containing your completed hand printed card or paper is received your outer envelope will be randomly assigned a unique chronological number that will be entered into Jackpot Rewards' computers where the random selection computer will randomly select 5 different white numbers from 1 to 70 and one red number from 1 to 70 for each unique chronological number printed on each envelope. Those numbers will be your entry into the next Monday/Wednesday/Friday drawing after the entry is processed (received, assigned the randomly selected 5 different white numbers from 1 to 70 and one red number from 1 to 70, and the entry information is entered into the Sweepstakes data base) or as soon thereafter as practical. Mail-in entries for any Monday/Wednesday/Friday drawing will not be carried forward to subsequent Sweepstakes drawings except as set forth in Rule 5 (F.), below. Notwithstanding anything to the contrary, if a Monday/Wednesday/Friday drawing is a U.S. postal holiday, mail-in entries which would otherwise have been received and processed on the postal holiday will be received on, and processed for, the next available Monday/Wednesday/Friday drawing after they are received.
  
  Mail-in entries may be postmarked beginning 5 business days prior to the beginning date of the Promotional Period stated in Rule 2, above.
3. GROUPS:
  1. Jackpot Rewards Subscribers Creating A Subscribers Group: Jackpot Rewards subscribers may create a Group after logging in to Jackpot Rewards' Web site and following the instructions at the Web site. The subscriber who creates the Group can then invite his/her friends, family members, and associates who are also subscribers to join the Group or to become a subscriber to join the Group using any method that Jackpot Rewards specifies on the Web site. Any subscriber who has become a member of a Group can invite his/her friends, family members, and associates who are subscribers to join the Group or to become a subscriber to join the Group. Any Group member can leave a Group at any time by following the instructions on the Web site. If the founding member of the Group leaves the Group, the Group continues to exist, unless and until all the members of the Group leave the Group.
  2. Jackpot Rewards Subscribers Linking to a Group: Group members of a particular Group link their entries of 5 different white numbers from 1 to 70 and one red number from 1 to 70 numbers with the 5 different white numbers from 1 to 70 and one red number from 1 to 70 numbers of the other members of the Group as linked participants in a particular Monday/Wednesday/Friday drawing. If a Group member has multiple Sweepstakes numbers he/she must select one or more set of numbers to be the one that he/she links to a particular Group. If for any particular Monday/Wednesday/Friday drawing any Group member matches his/her 5 different white numbers from 1 to 70 and one red number from 1 to 70 numbers with the 5 different white numbers from 1 to 70 and one red number from 1 to 70 winning numbers as detailed below in these Rules, then the prize will be equally shared among all eligible members of that Group. For example, if a Group has ten members, each of whom is an eligible Sweepstakes participant, and one of the ten matches a winning number of the Monday/Wednesday/Friday drawing, then all ten members will receive 1/10^th of the prize amount.
  3. Mail-in Participants Linking To A Group: Participants who enter the Sweepstakes by following mail-in Rule 4(B.) may participate in a mail-in Group. To become a mail-in Group member follow the mail-in process detailed above but address the envelope to: Jackpot Rewards Groups, P.O. Box 1405, Elmhurst, IL 60126. When your properly completed hand printed card/paper for the Group entry is received its outer envelope will be randomly assigned a unique chronological number that will be entered into Jackpot Rewards' computers where the random selection computer will randomly select 5 different white numbers from 1 to 70 and one red number from 1 to 70 for each unique chronological number printed on each envelope. Those 5 different white numbers from 1 to 70 and one red number from 1 to 70 numbers will be linked to all of the other mail-in Group entries for the next available Monday/Wednesday/Friday drawing, specifically, after the entry is processed (received, assigned the randomly selected 5 different white numbers from 1 to 70 and one red number from 1 to 70, and the entry information is entered into the Sweepstakes data base) or as soon thereafter as practical. Mail-in entries for any Monday/Wednesday/Friday drawing will not be carried forward to subsequent Monday/Wednesday/Friday drawings. If one of the mail-in Group's 5 different white numbers from 1 to 70 and one red number from 1 to 70 numbers entries matches the 5 different white numbers from 1 to 70 and one red number from 1 to 70 winning numbers, as set forth below, for the Monday/Wednesday/Friday drawing, then all eligible members of that Group for that drawing will share the prize equally.
  4. For All Linked Groups: If it is determined that any member(s) of a Group is not an eligible sweepstakes participant, or otherwise does not comply with the requirements of these Rules to receive a prize, then (i) if the Group member who is not eligible or otherwise does not comply with the requirements of these Rules is the participant whose entry, as set forth below, would have been a winning entry, the prize will be forfeited, in which case no members of the Group will receive any prize or portion of any prize, and Rules 7 (G.) and 7 (H.), below, shall apply, but, (ii) if the Group member(s) who is not eligible or otherwise does not comply with the requirements of these Rules is other than the Group member whose entry was a winning entry stated in this Rule above, then that (those) ineligible Group member's prize(s) will be forfeited, and notwithstanding Rules 7 (G.) and 7 (H.), below, the amount that the ineligible member(s) would have received shall be awarded equally among the remaining eligible participants who have complied with these Rules.
  5. Group Termination: Jackpot Rewards may in its sole discretion decide to terminate a Group, a number of Groups, or all Groups, in which case all Group members linked to the Group(s) that is being terminated will be notified by email sent to each of the Group's members that the Group is being terminated and that their Sweepstakes numbers still exist as standalone numbers and will no longer be linked to other members of the Group that has been terminated.
SELECTION OF WINNING NUMBERS/WINNING/ODDS/PRIZES:
1. Winning Number Selection: For each Monday/Wednesday/Friday drawing, 5 different white numbers from 1 to 70 and one red number from 1 to 70 will be randomly selected on that Monday/Wednesday/Friday, or as soon thereafter as is practical. These will be the winning numbers for the drawing for which they were selected.
2. Winning: If for any particular Monday/Wednesday/Friday drawing any participant (whether on-line or mail-in) has either selected, or the random selection computer has selected for that participant, the exact same 5 different white numbers from 1 to 70 and one red number from 1 to 70 as the random selection process has selected as its 5 white numbers and its same red number as the winning numbers for that drawing, that participant will be the potential drawing winner.
3. In Case of Tie: If for any particular Monday/Wednesday/Friday drawing more than one eligible participant has either selected or the random selection computer has selected for more than one eligible participant the exact same 5 white numbers and the exact same red number as the random selection process has selected as the winning numbers for that drawing, those participants will be the drawing winners, and those eligible participants will each receive an equal share of the prize. If however, a potential winner forfeits his/her share of the prize for any reason whatsoever pursuant to these Official Rules, his/her prize shall be equally shared between the remaining eligible winners.
4. Odds: The odds of winning in any Monday/Wednesday/Friday Sweepstakes drawing are 1: 847,210,980 per entry.
  
  IF AND WHEN FOR ANY MONDAY/WEDNESDAY/FRIDAY DRAWING (AS THOSE DRAWINGS ARE DESCRIBED ABOVE) ANY PARTICIPANT HAS EITHER SELECTED, OR THE RANDOM SELECTION COMPUTER HAS SELECTED FOR THAT PARTICIPANT, THE EXACT SAME 5 WHITE NUMBERS AND THE EXACT SAME RED NUMBER AS THE RANDOMLY SELECTED WINNING 5 WHITE NUMBERS AND THE WINNING RED NUMBER, THE PROMOTION WILL END.
5. PRIZE FOR MONDAY/WEDNESDAY/FRIDAY DRAWINGS: The prize available to be won for each Monday/Wednesday/Friday will beone hundred million dollars ($100 million) paid as noted in Rule 7.(A.) below.
6. If at the end of the Promotion Period there has been no eligible winner in any Monday/Wednesday/Friday drawing $25,000 will be available to be won by eligible participants as follows:
  1. Jackpot Rewards will utilize a random process to select a potential winner in which all of the Sweepstakes entries since the beginning of this Sweepstakes, including both subscriber entries and mail-in entries, will each be randomly assigned a unique identifying number. Entrants with multiple entries in the Sweepstakes will receive multiple sets of unique identifying numbers (1 per entry), and each set of numbers will represent a separate entry. The white and red numbers formerly selected will not be used for, and will have NO significance in, this drawing.
  2. Jackpot Rewards will utilize a random process to select one of the randomly assigned unique numbers and the randomly assigned number that is selected will be the potential winning entry.
  3. Because each randomly assigned number is unique there cannot be more than one potential winning entry.
  4. Odds: The odds of winning depend on the number of eligible entries received.
WINNER NOTIFICATION. For any drawing, Jackpot Rewards or a company acting on its behalf will attempt to notify on or before 5 business days after the drawing the potential winner(s) in person, by telephone, by mail, overnight mail, e-mail, text or in such other manner as determined by Jackpot Rewards. Notice will be delivered and deemed made in accordance with the contact information provided to Jackpot Rewards by Jackpot Rewards subscribers when the subscriber registered as a Jackpot Rewards subscriber, or the subscriber has changed any contact information in accordance with the instructions on the Web site. Notice will be delivered to mail-in participants by using the contact information the mail-in participant included with their mail-in entry. It is the sole responsibility of each Sweepstakes participant to maintain his or her contact information current. Neither Jackpot Rewards nor any other person or entity shall have any responsibility or liability for failure to provide notice due to a Sweepstakes participant's failure to maintain his or her contact information current. Should Jackpot Rewards or a company acting on its behalf be unable to notify a potential prize winner, the prize may be forfeited and Rules 7 (G.) and 7 (H.), below will apply.
PRIZE AWARDS:
1. Prizes will be awarded in U.S. Dollars. The prize awarded to any winner(s) in the Sweepstakes will be awarded in the form of a 50 year annuity without interest paid out in 51 payments over 50 years with the first 50 payments being equal and the 51^st payment adjusted to equal the total prize value of $100 million based on an annuity purchase price equal to $100,000 per $1,000,000 in prize value. For example, based on a $100 million prize and a current interest rate of 5.33% the 50 equal payments would be equal to $174,836 and the 51^st payment would be equal to $91,258,212. Actual payments will depend on the interest rate on the date the annuity is purchased, which may fluctuate due to market conditions. Jackpot Rewards will use reasonable efforts to pay the first installment to all valid winners within thirty (30) days from the date that a valid winner has been declared in accordance with the Official Rules. If the Sweepstakes prize is awarded to multiple winners, the prize will be awarded in equal shares to each of the winners. For prizes offered in the form of an annuity, in lieu of an annuity, a winner may elect to accept the prize in the form of a check in a lump sum cash payment equal to $10,000,000. If the $25,000 is won it will be awarded in the form of a check to the winner.
2. Winner(s) (and each winner's parent/legal guardian, if winner is a minor) agrees that he/she shall appear at any times and at any places deemed reasonably appropriate by Jackpot Rewards to accept the prize awarded, and to otherwise advertise, promote, or market Jackpot Rewards, it being understood that any such appearance will be on notice to the winner deemed reasonable by Jackpot Rewards, and it being further understood that the winner will be excused from any such appearance only should he/she have a prior commitment which cannot be postponed. The reasonable expenses of any such appearance shall be as solely determined by Jackpot Rewards, and will be borne by Jackpot Rewards.
3. Expenses not stated are the sole responsibility of the prize winner. If a winner cannot accept a prize in person, the prize may be forfeited in its entirety and Rules 7 (G.) and 7 (H.), below will apply. No assignment, transfer or substitution of a prize is permitted. If a winner is a minor in his/her jurisdiction of residence, a prize may be awarded in the name of, or to, winner's parent/legal guardian who must execute all documents and agree to all obligations and undertakings of a winner, both on behalf of himself/herself and the winner, or the prize may be forfeited and Rules 7 (G.) and 7 (H.), below will apply.
4. All taxes on prizes, if any, will be the sole responsibility of the winner to pay, and prizes will be reported as required by law, rule or regulation. In the case of an annuity, a Canadian resident may be taxed on the annuity income.
5. For potential Canadian prize winners: In addition to complying in full with these Official Rules a potential Canadian prize winner must correctly answer a 4-function mathematical skill-testing question, without assistance of any kind, whether mechanical, electronic or otherwise, before the participant can be declared the winner of any Prize. If the potential winner cannot correctly answer the question the prize will be forfeited and Rules 7 (G.) and 7 (H.), below will apply.
6. No participant will be declared a winner until verification and compliance with these Official Rules are properly completed as solely determined by Jackpot Rewards, and the participant has received official notification of being declared a winner. If Jackpot Rewards, in its sole discretion, determines that an entrant with a winning entry in a Sweepstakes is not a valid winner, the prize will be forfeited in its entirety and Rules 7 (G.) and 7 (H.), below, shall apply.
7. Except as provided for Groups in Rule 4(C.)(iv.), above, and except as provided for ties in Rule 5(C.), above IF A POTENTIAL WINNER OF THE PRIZE STATED IN RULE 5(E.) ABOVE OR THE $25,000 PRIZE FORFEITS THAT PRIZE FOR ANY REASON WHATSOEVER PURSUANT TO THESE OFFICIAL RULES, THE PRIZE STATED IN RULE 5(E.) WILL NOT BE AWARDED, AND THE $25,000 PRIZE WILL BE AVAILABLE TO BE WON IN ACCORDANCE WITH RULE 7(H.), BELOW.
8. Except as provided for Groups in Rule 4(C.)(iv.), above, and except as provided for ties in Rule 5(C.), above if a potential winner of the $25,000 prize forfeits that prize for any reason whatsoever pursuant to these Official Rules, the forfeited prize will be awarded to an alternate winner as follows:
  1. All of the Sweepstakes entries that were in the drawing in which the entrant with a winning entry in a Sweepstakes was not a valid winner will each be randomly assigned a unique identifying number. The white and red numbers formerly selected will not be used for, and will have NO significance in, this drawing.
  2. Jackpot Rewards will utilize a random process to select one of the randomly assigned unique numbers and the randomly assigned number that is selected will be the potential winning entry.
  3. Because each randomly assigned number is unique there cannot be more than one potential winning entry.
  4. Odds: The odds of winning depend on the number of eligible entries received.
COMPANION SWEEPSTAKES. From time to time and at any time in addition to this Sweepstakes, Jackpot Rewards may offer, but will be under no obligation to do so, a Companion Sweepstakes which uses as its entries the numbers selected by participants for this Sweepstakes and the numbers selected by the random process as the winning numbers in this Sweepstakes to qualify for the Companion Sweepstakes. By participating in this Sweepstakes you are agreeing to participate in the Companion Sweepstakes if and when and how offered and to the Official Rules of that Sweepstakes which can be found on the Web site.
GENERAL CONDITIONS: Participants (and each participant's parent/legal guardian if a participant is a minor) agree (a) that Jackpot Rewards, its subsidiaries and affiliated companies, Partners, advertising and promotion companies, insurers, underwriters, resource and computer servicing companies and security agencies, and all of their respective officers, directors, employees, representatives and agents (individually and collectively referred to as "Jackpot Rewards, its affiliates and personnel") are released, will have no liability whatsoever for, and shall be held harmless by participants, entrants and winners against any liability for any injuries, losses or damages of any kind (whether due to negligence or otherwise) to person(s), including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, loss, misuse or use of the prize or participation in this Sweepstakes or any Sweepstakes related or travel related activities, and, (b) each winner (and his/her parent/legal guardian if a winner is a minor) grants permission to Jackpot Rewards and those acting under its authority the right to the use of his/her name, picture, likeness, voice, biographical information and statements, at any time or times, in perpetuity, for advertising, trade, publicity and promotional purposes without additional compensation, in all media now known or hereafter discovered, worldwide and on the Internet, World Wide Web and other media (except where such usage is legally prohibited), without notice, review or approval. Each potential winner (and his/her parent/legal guardian if a potential winner is a minor) may be required to complete, sign and return an Affidavit of Eligibility, a Liability Release, where lawful a Publicity Release, and provide Jackpot Rewards with a true copy of a government issued photo identification, for example valid drivers license or passport, within thirty (30) days of date of notification. If documents are not returned timely, or if the prize notification or prize is returned as non-deliverable, or if the potential winner is found to be ineligible or otherwise not in compliance with these Official Rules, the prize will be forfeited and Rules 7 (G.) and 7 (H.), above will apply. Winner's travel companion (if applicable) must complete, sign and return a Liability Release, and where lawful, a Publicity Release, prior to issuance of travel documents.
LIABILITY LIMITATIONS: Jackpot Rewards, its affiliates and personnel are not responsible for lost, late, misdirected, incomplete, postage due or non-delivered entries, mail or e-mail; or for interrupted or unavailable satellite, network, server, Internet Service Provider (ISP), Web site, telephone or other connections, availability or accessibility, or miscommunications, or failed computer, satellite, telephone or cable transmissions, or lines, or technical or programming error or failure or jumbled, corrupted, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures, or technical errors or difficulties, or other errors of any kind whether human, mechanical, electronic or network or the incorrect or inaccurate capture of registration, entry or other information or the failure to capture, or loss of, any information. Persons who tamper with or abuse any aspect of this Sweepstakes, as solely determined by Jackpot Rewards, will be disqualified. Any use of robotic, automatic, macro, programmed, third party or like entry methods will void all such entries by such methods, and disqualify any entrant using such methods. Jackpot Rewards, its affiliates and personnel are not responsible for injury or damage to participants' or to any other person's computer related to, or resulting from, participating in this Sweepstakes or downloading materials from, or use of, the Web site. Should any portion of the Sweepstakes be, in Jackpot Rewards' opinion or the opinion of its security consultants or auditors, compromised by virus, worms, bugs, non-authorized human intervention, technical failures or any other causes which, in the opinion of Jackpot Rewards, its security consultants, or auditors, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Jackpot Rewards reserves the right at its sole discretion to suspend, modify or terminate the Sweepstakes, including but not limited to removing the prize stated in Rule 5(E.) from award availability and selecting the prize winner of the prize stated in Rule 5(F.) above from entries received prior to action taken or as otherwise deemed fair and appropriate by Jackpot Rewards. Jackpot Rewards, its affiliates and personnel are not responsible for any incorrect or inaccurate information, whether caused by Web site users, tampering, hacking, or by any equipment or programming associated with, or utilized in, the Sweepstakes, and assume no responsibility for any error, interruption, deletion, defect, delay in operation, or transmission, communications line failure, theft or destruction, or unauthorized access to, or use to, this Web site. In the event of any irregular entry for a drawing for any reason whatsoever Jackpot Rewards, its affiliates and personnel sole liability will be to provide one entry in the next scheduled drawing (or as soon thereafter as practical) and will have no liability if there are no remaining drawings in the Promotion Period. No more than the stated number of prizes in these Official Rules in any prize category will be awarded. In the event that production, technical, programming, digital or any other reasons cause more than the stated number of prizes in any prize category, as set forth in these Official Rules, to be available and/or claimed, Jackpot Rewards reserves the right to award only the stated number of prizes in that prize category by a random drawing among all legitimate, unawarded, eligible prize claims.

In case of dispute, the authorized Subscriber of the Jackpot Rewards subscription (as determined by the user name and password used to enter the Sweepstakes at the actual time of entry) will be deemed to be the participant, and must comply with these Official Rules. (You are solely responsible for the security of your user name and password. You should take precautions to keep it private to prevent unauthorized use. FORCE MAJEURE: In the event of fire, flood, epidemic, earthquake, explosion, accident or other act of God, act of public enemy; act of government, including any governmental order, regulation or order of any court of competent jurisdiction; lockout, strike or other labor dispute; riot or civil commotion; war (whether declared or undeclared) or armed conflict; acts of terrorism; enactment of, rule, or order or act of government or governmental instrumentality (whether federal, provincial, state or local); or other cause of similar or different nature beyond Jackpot Rewards' control (all of which events are referred to herein as "force majeure events"), Jackpot Rewards shall have the right to terminate this Sweepstakes drawing without further obligations, if any, hereunder, or at Jackpot Rewards' sole option, to suspend the Sweepstakes drawing for a period equal to the duration and the effect of the duration of any such force majeure event.
LANGUAGES: In the event that these Rules, or any advertising, promotion, or other written, printed, or graphic material, including but not limited to such materials appearing on the World Wide Web are presented in a language other than English and there is a discrepancy, inconsistency or interpretation issue between the English language version and the other language version of these Official Rules or of any materials, the English version shall prevail, govern and control. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.
ARBITRATION DISPUTE RESOLUTION/CHOICE OF LAW:: Except where prohibited, entrants agree that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or any prize awarded, or the determination of the winner, shall be resolved individually, without resort to any form of class action, and exclusively through final and binding arbitration by Eric Green of Resolutions, LLC or in his absence someone designated by him or Resolutions, LLC in accordance with the rules of Resolutions, LLC; and (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs directly associated with entering this Sweepstakes but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental and consequential damages and any and all rights to have damages multiplied or otherwise increased and for any other damages other than for actual out-of-pocket expenses. The parties involved in disputes concerning whether a participant in a drawing is a valid winner of a sweepstakes will provide to Eric Green or his designee all information in support of their position related to the dispute within seven (7) days after the dispute arises, and Eric Green or his designee will resolve that dispute within seven (7) days after the information is to be provided by the parties to the dispute. The timing of handling any other disputes beyond who is a valid Winner of a sweepstakes will be done in accordance with the rules of Resolutions, LLC. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any entrant or Jackpot Rewards, its affiliates and personnel or both in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Massachusetts, without regard for the conflicts of law doctrine of that Commonwealth or any other jurisdiction. All such arbitration proceedings shall take place exclusively in the city of Boston in the Commonwealth of Massachusetts.
RESERVATION OF RIGHT TO MODIFY: Jackpot Rewards reserves the right to suspend, modify, alter or terminate the Promotion if any federal or state law, rule or regulation, or any judicial decision or Attorney General Opinion, or any change in any current enforcement policy affects the legality of the Promotion, in whole or in part.

OFFICIAL RULES

NO PURCHASE OR SUBSCRIPTION NECESSARY. PURCHASE/SUBSCRIPTION WILL NOT IMPROVE CHANCES OF WINNING.

ELIGIBILITY:
1. This Jackpot Rewards $1 Million Sweepstakes (the "$1 Million Sweepstakes") is offered and open only to persons who are eligible participants (sometimes hereinafter "entrant(s)") in the Jackpot Rewards Super Jackpot Sweepstakes ("Super Jackpot Sweepstakes"), and participated in the Super Jackpot Sweepstakes during the Promotion Period stated in Rule 2, below. The Sweepstakes is offered and open to legal residents of the United States, its territories and possessions (except Puerto Rico), and Canada (except Quebec) who are at least 18 years old at the time of participation. Any person who is an employee, officer, or director of Jackpot Rewards, Inc. ("Jackpot Rewards") or is directly connected with the management of the Sweepstakes, the Sweepstakes computer systems, or the Sweepstakes security systems is not eligible. This Sweepstakes is void in countries and jurisdictions other than the United States, its territories and possessions (except Puerto Rico), and Canada (except Quebec). 2. Notwithstanding the above, Jackpot Rewards reserves the right at any time and from time to time to offer and open this Sweepstakes to individuals who are legal residents of countries or jurisdictions other than the United States and Canada, including Puerto Rico and Quebec. To be eligible the residents of those countries or jurisdictions must be legal residents at least 18 years old at the time of participation. 3. PROMOTION PERIOD:

The Promotion Period ("Promotion Period") for the Sweepstakes begins on Monday, June 22, 2009 at 12:00:01 a.m. United States Eastern Time (ET) and will end after the Friday, August 21, 2009 drawing for the Jackpot Rewards' Super Jackpot Sweepstakes unless it ends sooner as provided. Specifically, if a potential winning entry is selected pursuant to Rule 4.B, then this Promotion will end. All times in these Rules shall be United States Eastern Time (ET). Whether that time is Eastern Standard Time or Eastern Daylight Savings Time will depend on the change of time dates that occur during the Promotion Period. The Sweepstakes computer is the official time keeping device for the Sweepstakes and the Promotion Period.
HOW TO PARTICIPATE:
1. To participate in the Weekly Sweepstakes you must have participated in the Super Jackpot Sweepstakes during the Promotion Period.
2. For each Jackpot Rewards Super Jackpot Sweepstakes Monday/Wednesday/Friday drawing during the Promotion Period, the random selection process will have selected five "white" numbers and one "red" number. Entries during the Promotion Period for a particular Monday/Wednesday/Friday Super Jackpot Sweepstakes drawing that match 1, 2, 3, 4, or 5 white numbers out of 5 white numbers or a combination of 0, 1, 2, 3, or 4 white numbers out of five white numbers AND 1 red number out of 1 red number chosen by the random selection process for that drawing will receive entries into the $1 Million drawing as follows:

If for a particular Monday/Wednesday/Friday drawing during the Promotion Period a participant matches two (2) white numbers out of five white numbers and no red number out of one (1) red number then their total matching numbers would be two (2) and they would receive one (1) entry into the $1 Million.
  3. (iii.) If for a particular Monday/Wednesday/Friday drawing during the Promotion Period a participant matches one (1) white number out of five white numbers and one (1) red number out of one (1) red number then their total matching numbers would be two (2) and they would receive one (1) entry into the $1 Million.
  4. If for the Monday drawing during the Promotion Period a participant matches two (2) numbers as described in the example in section (B.)(ii.) of this Rule and for the Wednesday drawing during the Promotion Period that same participant matches two (2) numbers as described in the example in section (B.)(iii.) of this Rule then that participant would receive a total of two (2) entries into the $1 Million drawing.
  Further, each entry into this Weekly Sweepstakes will be considered an individual entry, and should a specific participant have multiple entries in a particular drawing the numbers on different entries cannot be combined.
3. Further, for those subscribers who have referred a friend pursuant to the terms and conditions of the Jackpot Rewards' Refer-A-Friend program, if the referring subscriber's entry for a particular Monday/Wednesday/Friday drawing matches 1, 2, 3, 4, or 5 white numbers out of 5 white numbers or a combination of 0, 1, 2, 3, or 4 white numbers out of five white numbers AND 1 red number out of 1 red number chosen by the random selection process for that Monday/Wednesday/Friday drawing both the referring subscriber and the referred subscriber will be entered into the drawing for this Sweepstakes for the Promotion Period with the number of entries for the $1 Million prize as stated in Rule 3(B), above and in accordance with the terms and conditions of the Refer-A-Friend program; and if the referred subscriber's entry for a particular Monday/Wednesday/Friday drawing matches 1, 2, 3, 4, or 5 white numbers out of 5 white numbers or a combination of 0, 1, 2, 3, or 4 white numbers out of five white numbers AND 1 red number out of 1 red number chosen by the random selection process for that Monday/Wednesday/Friday drawing for the Promotion Period both the referred subscriber and the referring subscriber will be entered into the drawing for this Sweepstakes for the Promotion Period with the number of entries for the $1 Million prize as stated in Rule 3(B), above. For the Refer-A-Friend program the entries of the referring subscriber and referred subscriber are those entries associated with their respective subscriptions which were linked using the Refer-A-Friend invitation and the terms of the Refer-A-Friend program.
4. Each entry described in Rules 3(B.) and 3(C.) above that is eligible for the $1 Million Sweepstakes prize will be randomly assigned a unique identifying number between 0,000,000 and 99,999,999. The assignment of the unique identifying number will take place at a time solely selected by Jackpot Rewards, but will be no later than 11:59:59 p.m. (or as soon thereafter as is practical) on each Saturday during the Promotion Period and the Saturday immediately following the end of the Promotion Period. The white and red numbers formerly selected in the prior Monday/Wednesday/Friday drawings during the Promotion Period will not be used for, and will have NO significance in, this drawing.
WINNING ENTRY SELECTION/ODDS:
1. Following the assignment of the unique identifying numbers as described in Rule 3(D.) above a random selection process will be used to select a number between 0,000,000 and 99,999,999. The selection process will take place no later than 11:59:59 p.m. (or as soon thereafter as is practical) on each Sunday during the Promotion Period and the Sunday immediately following the end of the Promotion Period.
2. If an entry described in Rules 3(B.) and 3(C.) above that had been assigned the randomly assigned number between 0,000,000 and 99,999,999 matches the number between 0,000,000 and 99,999,999 that was selected by the random selection process in Rule 4(A.) above, then that entry will be the potential winning entry of the $1 Million prize. Because each randomly assigned number is unique there cannot be more than one winning entry.
3. Odds: During each week of the Promotion Period the odds of an entry in this Sweepstakes of winning the $1 Million prize are 1:100,000,000. If a potential winning entry is selected as described in Rule 4.B above then this Promotion will end.
4. If at the end of the Promotion Period there has been no eligible winner in any weekly drawing two (2) $500 prizes will be available to be won by eligible participants as follows:
  1. Jackpot Rewards will utilize a random process to select two (2) potential winners in which all of the Sweepstakes entries since the beginning of this Sweepstakes, including both subscriber entries and mail-in entries, will each be randomly assigned a unique identifying number. Entrants with multiple entries in the Sweepstakes will receive multiple sets of unique identifying numbers (1 per entry), and each set of numbers will represent a separate entry. The white and red numbers formerly selected will not be used for, and will have NO significance in, this drawing.
  2. Jackpot Rewards will utilize a random process to select two (2) of the randomly assigned unique numbers and the randomly assigned numbers that are selected will be the two (2) potential winning entries.
  3. Odds: The odds of winning depend on the number of eligible entries received.
WINNER NOTIFICATION:

For any drawing, Jackpot Rewards or a company acting on its behalf will attempt to notify on or before 5 business days after the drawing potential winner(s) in person, by telephone, by mail, overnight mail, e-mail, text or in such other manner as determined by Jackpot Rewards. Notice will be delivered and deemed made in accordance with the contact information provided to Jackpot Rewards by Jackpot Rewards subscribers when the subscriber registered as a Jackpot Rewards subscriber, or the subscriber has changed any contact information in accordance with the instructions on the Web site. Notice will be delivered to mail-in participants by using the contact information the mail-in participant included with their mail-in entry. It is the sole responsibility of each Sweepstakes participant to maintain his/her contact information current. Neither Jackpot Rewards nor any other person or entity shall have any responsibility or liability for failure to provide notice due to a Sweepstakes participant's failure to maintain his or her contact information current.
PRIZE AWARDS:
1. The prizes will be awarded in U.S. Dollars. If the $1 Million prize is won it will be awarded in the form of a 50 year annuity without interest paid out in 51 equal payments over 50 years. In lieu of an annuity, a winner may elect to accept the prize in the form of a check in a lump sum cash payment equal to $370,000. The prizes is only eligible to be won by an individual participant; and if a prize winner is a member of a Group the other members of the Group will not receive any prize, or portion of any prize offered in the Weekly Sweepstakes. Only the Super Jackpot prize in the Jackpot Super Jackpot Sweepstakes is split among Group members pursuant to the Official Rules of the Super Jackpot Sweepstakes. If the $500 prizes are won they will be awarded in the form of a check to the winner.
2. The Cash prizes will be paid as follows
  1. (i.) Potential Winners of the $1 Million prize and the $500 prize may be required to sign the release and winner verification documents described in Rule 7 below before being declared Official Winners and receiving the prize award.
3. Winner(s) (and each winner's parent/legal guardian, if winner is a minor) of the $1 Million prize agrees that he/she shall appear at any times and at any places deemed reasonably appropriate by Jackpot Rewards to accept the prize awarded, and to otherwise advertise, promote, or market Jackpot Rewards, it being understood that any such appearance will be on notice to the winner deemed reasonable by Jackpot Rewards, and it being further understood that the winner will be excused from any such appearance only should he/she have a prior commitment which cannot be postponed. The reasonable expenses of any such appearance shall be as solely determined by Jackpot Rewards, and will be borne by Jackpot Rewards.
4. Expenses not stated are the sole responsibility of the prize winner. If a winner of the $1 Million prize cannot accept a prize in person, the prize may be forfeited in its entirety. No assignment, transfer or substitution of a prize is permitted. If a winner is a minor in his/her jurisdiction of residence, a prize may be awarded in the name of, or to, winner's parent/legal guardian who must execute all documents and agree to all obligations and undertakings of a winner, both on behalf of himself/herself and the winner, or the prize may be forfeited in its entirety and if the $1 Million Sweepstakes prize is forfeited it will not be to an alternate winner. If a $500 prize is forfeited it will be awarded to an alternate winner.
5. All taxes on prizes, if any, will be the sole responsibility of the winner to pay, and prizes will be reported as required by law, rule or regulation.
6. No participant will be declared a winner until verification and compliance with these Official Rules are properly completed as solely determined by Jackpot Rewards, and the participant has received official notification of being declared a winner. If Jackpot Rewards, in its sole discretion, determines that an entrant with a winning entry in the Weekly Sweepstakes is not a valid winner, the prize will be forfeited in its entirety, and if the $1 Million prize is forfeited it will not be awarded to an alternate winner. If a $500 prize is forfeited it will be awarded to an alternate winner.
GENERAL CONDITIONS:

Participants (and each participant's parent/legal guardian if a participant is a minor) agree (a) that Jackpot Rewards, its subsidiaries and affiliated companies, advertising and promotion companies, insurers, underwriters, resource and computer servicing companies and security agencies, and all of their respective officers, directors, employees, representatives and agents (individually and collectively referred to as "Jackpot Rewards, its affiliates and personnel") are released, will have no liability whatsoever for, and shall be held harmless by participants, entrants and winners against any liability for any injuries, losses or damages of any kind (whether due to negligence or otherwise) to person(s), including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, loss, misuse or use of the prize or participation in this Sweepstakes or any Sweepstakes related or travel related activities, and, (b) each winner (and his/her parent/legal guardian if a winner is a minor) grants permission to Jackpot Rewards and those acting under its authority the right to the use of his/her name, picture, likeness, voice, biographical information and statements, at any time or times, in perpetuity, for advertising, trade, publicity and promotional purposes without additional compensation, in all media now known or hereafter discovered, worldwide and on the Internet, World Wide Web and other media (except where such usage is legally prohibited), without notice, review or approval. Each potential winner (and his/her parent/legal guardian if a potential winner is a minor) may be required to complete, sign and return an Affidavit of Eligibility, a Liability Release, where lawful a Publicity Release, and provide Jackpot Rewards with a true copy of a government issued photo identification, for example valid drivers license or passport, within fourteen (14) days of date of notification. If documents are not returned timely, or if the prize notification or prize is returned as non-deliverable, or if the potential winner is found to be ineligible or otherwise not in compliance with these Official Rules, the prize will be forfeited in its entirety and if the $1 Million prize is forfeited it will not be awarded to an alternate winner. If the $500 prize is forfeited it will be awarded to an alternate winner. Winner's travel Guest (if applicable) must complete, sign and return a Liability Release, and where lawful, Publicity Release, prior to issuance of travel documents. If a travel Guest is the child or legal ward of the Winner, the Winner must complete, sign and return a Liability Release, and where lawful, a Publicity Release for and on behalf of the minor child. Once a travel Guest is selected, that Guest cannot be changed without the express written consent of the Jackpot Rewards which may be denied for any reason whatsoever.
LIABILITY LIMITATIONS:

Jackpot Rewards, its affiliates and personnel are not responsible for lost, late, misdirected, incomplete, postage due or non-delivered entries, mail or e-mail; or for interrupted or unavailable satellite, network, server, Internet Service Provider (ISP), Web site, telephone or other connections, availability or accessibility, or miscommunications, or failed computer, satellite, telephone or cable transmissions, or lines, or technical or programming error or failure or jumbled, corrupted, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures, or technical errors or difficulties, or other errors of any kind whether human, mechanical, electronic or network or the incorrect or inaccurate capture of registration, entry or other information or the failure to capture, or loss of, any information. Persons who tamper with or abuse any aspect of this Sweepstakes, as solely determined by Jackpot Rewards, will be disqualified. Any use of robotic, automatic, macro, programmed, third party or like entry methods will void all such entries by such methods, and disqualify any entrant using such methods. Jackpot Rewards, its affiliates and personnel are not responsible for injury or damage to participants' or to any other person's computer related to, or resulting from, participating in this Sweepstakes or downloading materials from, or use of, the Web site. Should any portion of the Sweepstakes be, in Jackpot Rewards' sole opinion, compromised by virus, worms, bugs, non-authorized human intervention, technical failures or any other causes which, in the sole opinion of Jackpot Rewards, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Jackpot Rewards reserves the right at its sole discretion to suspend, modify or terminate the Sweepstakes, and select the winner from entries received prior to action taken or as otherwise deemed fair and appropriate by Jackpot Rewards. Jackpot Rewards, its affiliates and personnel are not responsible for any incorrect or inaccurate information, whether caused by Web site users, tampering, hacking, or by any equipment or programming associated with, or utilized in, the Sweepstakes, and assume no responsibility for any error, interruption, deletion, defect, delay in operation, or transmission, communications line failure, theft or destruction, or unauthorized access to, or use to, this Web site. In the event of any irregular entry for a drawing for any reason whatsoever Jackpot Rewards, its affiliates and personnel sole liability will be to provide one entry in the next scheduled drawing (or as soon thereafter as practical) and will have no liability if there are no remaining drawings in the Promotion Period No more than the stated number of prizes in these Official Rules in any prize category will be awarded. In case of dispute, the authorized Subscriber of the Jackpot Rewards subscription user name and password used to enter the Sweepstakes at the actual time of entry will be deemed to be the participant, and must comply with these Official Rules. Headings and captions are used in these Official Rules solely for ease of reference, and shall not be deemed to affect in any manner the meaning or intent of these Official Rules or any provision or portion of a provision hereof. These Official Rules cannot be modified or amended in any way except in writing by a duly authorized representative of Jackpot Rewards.
FORCE MAJEURE:

In the event of fire, flood, epidemic, earthquake, explosion, accident or other act of God, act of public enemy; act of government, including any governmental order, regulation or order of any court of competent jurisdiction; lockout, strike or other labor dispute; riot or civil commotion; war (whether declared or undeclared) or armed conflict; acts of terrorism; enactment of, rule, or order or act of government or governmental instrumentality (whether federal, provincial, state or local); or other cause of similar or different nature beyond Jackpot Rewards' control (all of which events are referred to herein as "force majeure events"), Jackpot Rewards shall have the right to terminate this Sweepstakes drawing without further obligations, if any, hereunder, or at Jackpot Rewards' sole option, to suspend the Sweepstakes drawing for a period equal to the duration and the effect of the duration of any such force majeure event.
LANGUAGES:

In the event that these Rules, or any advertising, promotion, or other written, printed, or graphic material, including but not limited to such materials appearing on the World Wide Web are presented in a language other than English and there is a discrepancy, inconsistency or interpretation issue between the English language version and the other language version of these Official Rules or of any materials, the English version shall prevail, govern and control. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.
ARBITRATION DISPUTE RESOLUTION/CHOICE OF LAW:

Except where prohibited, entrants agree that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or any prize awarded, or the determination of the winner, shall be resolved individually, without resort to any form of class action, and exclusively through final and binding arbitration by Eric Green of Resolutions, LLC or in his absence someone designated by him or Resolutions, LLC in accordance with the rules of Resolutions, LLC; and (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs directly associated with entering this Sweepstakes but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental and consequential damages and any and all rights to have damages multiplied or otherwise increased and for any other damages other than for actual out-of-pocket expenses. The parties involved in disputes concerning whether a participant in a drawing is a valid winner of a sweepstakes will provide to Eric Green or his designee all information in support of their position related to the dispute within seven (7) days after the dispute arises, and Eric Green or his designee will resolve that dispute within seven (7) days after the information is to be provided by the parties to the dispute. The timing of handling any other disputes beyond who is a valid Winner of a sweepstakes will be done in accordance with the rules of Resolutions, LLC. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any entrant or Jackpot Rewards, its affiliates and personnel or both in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Massachusetts, without regard for the conflicts of law doctrine of that Commonwealth or any other jurisdiction. All such arbitration proceedings shall take place exclusively in the city of Boston in the Commonwealth of Massachusetts.
RESERVATION OF RIGHT TO MODIFY:

Jackpot Rewards reserves the right to suspend, modify, alter or terminate the Promotion if any federal or state law, rule or regulation, or any judicial decision or Attorney General Opinion, or any change in any current enforcement policy affects the legality of the Promotion, in whole or in part.

OFFICIAL RULES

ELIGIBILITY:
1. This Jackpot Rewards Weekly Sweepstakes (the "Weekly Sweepstakes") is offered and open only to persons who are eligible participants (sometimes hereinafter "entrant(s)") in the Jackpot Rewards Super Jackpot Sweepstakes ("Super Jackpot Sweepstakes"), and participated in the Super Jackpot Sweepstakes during the Promotion Period stated in Rule 2, below. The Sweepstakes is offered and open to legal residents of the United States, its territories and possessions (except Puerto Rico), and Canada (except Quebec) who are at least 18 years old at the time of participation. Any person who is an employee, officer, or director of Jackpot Rewards, Inc. ("Jackpot Rewards") or is directly connected with the management of the Sweepstakes, the Sweepstakes computer systems, or the Sweepstakes security systems is not eligible. This Sweepstakes is void in countries and jurisdictions other than the United States, its territories and possessions (except Puerto Rico), and Canada (except Quebec). This Sweepstakes is also void in any jurisdiction where prohibited.
2. Notwithstanding the above, Jackpot Rewards reserves the right at any time and from time to time to offer and open this Sweepstakes to individuals who are legal residents of countries or jurisdictions other than the United States and Canada, including Puerto Rico and Quebec. To be eligible the residents of those countries or jurisdictions must be legal residents at least 18 years old at the time of participation. Prior to offering and opening this Sweepstakes to legal residents of countries or jurisdictions other than the United States and Canada, including Puerto Rico and Quebec, Jackpot Rewards will post a notice thereof on the Web site. Said notice and its contents shall be as determined by Jackpot Rewards.
3. Participation in the Sweepstakes constitutes entrant's (and if entrant is a minor in the jurisdiction in which entrant resides, entrant's parent/legal guardian) full and unconditional agreement to, and acceptance of, these Official Rules including the agreement that all decisions of Jackpot Rewards are final and binding in all respects on all entrants. Winning a prize is contingent upon entrant fulfilling all requirements set forth in these Official Rules.
PROMOTION PERIOD:

The Promotion Period ("Promotion Period") for the Sweepstakes begins on Monday, June 29, 2009 at 12:00:01 a.m. United States Eastern Time (ET) and will end after the Friday, July 3, 2009 drawing for the Jackpot Rewards' Super Jackpot Sweepstakes. All times in these Rules shall be United States Eastern Time (ET). Whether that time is Eastern Standard Time or Eastern Daylight Savings Time will depend on the change of time dates that occur during the Promotion Period. The Sweepstakes computer is the official time keeping device for the Sweepstakes and the Promotion Period.
HOW TO PARTICIPATE:
1. To participate in the Weekly Sweepstakes you must have participated in the Super Jackpot Sweepstakes during the Promotion Period.
2. For each Jackpot Rewards Super Jackpot Sweepstakes Monday/Wednesday/Friday drawing during the Promotion Period, the random selection process will have selected five "white" numbers and one "red" number. Entries during the Promotion Period for a particular Monday/Wednesday/Friday Super Jackpot Sweepstakes drawing that match 1, 2, 3, 4, or 5 white numbers out of 5 white numbers or a combination of 0, 1, 2, 3, or 4 white numbers out of five white numbers AND 1 red number out of 1 red number chosen by the random selection process for that drawing will receive entries into the Guaranteed Prize drawing, as follows:

  If for a particular Monday/Wednesday/Friday drawing the participant's selected red number matches the one (1) red number that is randomly chosen in that drawing then the number of entries that the participant receives into the Guaranteed Prize Drawing is doubled.
  
  Examples
  1. If for a particular Monday/Wednesday/Friday drawing during the Promotion Period a participant matches no white numbers out of five white numbers and one (1) red number out of one (1) red number then their total matching numbers would be one (1) and they would receive would receive twenty (20) entries into the Guaranteed Prize Drawing because the one (1) matching number was the red number.
  2. If for a particular Monday/Wednesday/Friday drawing during the Promotion Period a participant matches two (2) white numbers out of five white numbers and no red number out of one (1) red number then their total matching numbers would be two (2) and they would receive twenty (20) entries into the Guaranteed Prize Drawing.
  3. If for a particular Monday/Wednesday/Friday drawing during the Promotion Period a participant matches one (1) white number out of five white numbers and one (1) red number out of one (1) red number then their total matching numbers would be two (2) and they would receive forty (40) entries into the Guaranteed Prize Drawing.
  4. If for the Monday drawing during the Promotion Period a participant matches two (2) numbers as described in the example in section (B.)(ii.) of this Rule and for the Wednesday drawing during the Promotion Period that same participant matches two (2) numbers as described in the example in section (B.)(iii.) of this Rule then that participant would receive sixty (60) entries into the Guaranteed Prize Drawing.
  Further, each entry into this Weekly Sweepstakes will be considered an individual entry, and should a specific participant have multiple entries in a particular drawing the numbers on different entries cannot be combined.
3. Further, for those subscribers who have referred a friend pursuant to the terms and conditions of the Jackpot Rewards' Refer-A-Friend program, if the referring subscriber's entry for a particular Monday/Wednesday/Friday drawing matches 1, 2, 3, 4, or 5 white numbers out of 5 white numbers or a combination of 0, 1, 2, 3, or 4 white numbers out of five white numbers AND 1 red number out of 1 red number chosen by the random selection process for that Monday/Wednesday/Friday drawing both the referring subscriber and the referred subscriber will be entered into the drawing for this Weekly Sweepstakes for the Promotion Period with the number of entries for the Guaranteed prizes as stated in Rule 3(B), above and in accordance with the terms and conditions of the Refer-A-Friend program; and if the referred subscriber's entry for a particular Monday/Wednesday/Friday drawing matches 1, 2, 3, 4, or 5 white numbers out of 5 white numbers or a combination of 0, 1, 2, 3, or 4 white numbers out of five white numbers AND 1 red number out of 1 red number chosen by the random selection process for that Monday/Wednesday/Friday drawing for the Promotion Period both the referred subscriber and the referring subscriber will be entered into the drawing for this Weekly Sweepstakes for the Promotion Period with the number of entries for the Guaranteed prizes as stated in Rule 3(B), above. For the Refer-A-Friend program the entries of the referring subscriber and referred subscriber are those entries associated with their respective subscriptions which were linked using the Refer-A-Friend invitation and the terms of the Refer-A-Friend program.
WINNING ENTRY SELECTION/ODDS:
1. The following Guaranteed prizes will be available to be won by eligible participants as follows:
  1. One (1) year of groceries (up to $5,000), which will be awarded in the form of a check in the amount of $5,000 payable to the Winner.
  2. Ten (10) First Runner-up Prizes: One Hundred dollars ($100).
  3. Two Hundred (200) Second Runner-up Prizes: Ten dollars ($10).
2. To select the winners of the Guaranteed prizes stated in Rule 4 (D.)
  1. (i.) Jackpot Rewards will utilize a random process to select the potential winners in which the entries described in Rules 3(B.) and 3(C.) above will each be randomly assigned a unique identifying number. Entrants with multiple entries in the Guaranteed Prize drawing will receive multiple sets of unique identifying numbers (1 per entry), and each set of numbers will represent a separate entry. The assignment of the unique identifying number will take place at a time solely selected by Jackpot Rewards, but will be no later than 11:59:59 p.m. (or as soon thereafter as is practical) on the Saturday immediately following the end of the Promotion Period. The white and red numbers formerly selected in the prior drawings during the Promotion Period will not be used for, and will have NO significance in, this drawing.
  2. Jackpot Rewards will utilize a random process to select one of the randomly assigned unique numbers for each Guaranteed Prize and the randomly assigned number that is selected will be the potential winning entry for that Guaranteed Prize. The selection process will take place no later than 11:59:59 p.m. (or as soon thereafter as is practical) on the Sunday immediately following the end of the Promotion Period.
  3. Because each randomly assigned number is unique there cannot be more than one potential winning entry for any prize.
  4. Odds: The odds of winning depend on the number of eligible entries received.
WINNER NOTIFICATION:

For any drawing, Jackpot Rewards or a company acting on its behalf will attempt to notify on or before 5 business days after the drawing potential winner(s) in person, by telephone, by mail, overnight mail, e-mail, text or in such other manner as determined by Jackpot Rewards. Notice will be delivered and deemed made in accordance with the contact information provided to Jackpot Rewards by Jackpot Rewards subscribers when the subscriber registered as a Jackpot Rewards subscriber, or the subscriber has changed any contact information in accordance with the instructions on the Web site. Notice will be delivered to mail-in participants by using the contact information the mail-in participant included with their mail-in entry. It is the sole responsibility of each Sweepstakes participant to maintain his/her contact information current. Neither Jackpot Rewards nor any other person or entity shall have any responsibility or liability for failure to provide notice due to a Sweepstakes participant's failure to maintain his or her contact information current.
PRIZE AWARDS:
1. The monetary Prizes will be awarded in U.S. Dollars; and the Guaranteed Grand Prize is valued in U.S Dollars. Prizes in the Weekly Sweepstakes are only eligible to be won by an individual participant; and if a prize winner is a member of a Group the other members of the Group will not receive any prize, or portion of any prize offered in the Weekly Sweepstakes. Only the Super Jackpot prize in the Jackpot Super Jackpot Sweepstakes is split among Group members pursuant to the Official Rules of the Super Jackpot Sweepstakes.
2. The Cash prizes will be paid as follows:
  1. For Subscription Entries: Cash prizes of $10 and $100 will be paid into the Subscriber's Jackpot Rewards Cash Back account within thirty (30) days of the drawing. Terms and conditions for redemption of cash in the Jackpot Rewards Cash Back account are contained in the Jackpot Rewards Membership Agreement.
  2. For Mail-In Entries: For cash prizes of $10 and $100 a check will be sent by US Mail to mail-in participants by using the contact information the mail-in participant included with their mail-in entry within thirty (30) days of the drawing. The check will be sent via US Mail or courier to the address that is provided on the mail in entry.
  3. Potential Winners of the Guaranteed Grand Prize will be required to sign the release and winner verification documents described in Rule 7 below before being declared Official Winners and receiving the prize award.
3. Winner(s) (and each winner's parent/legal guardian, if winner is a minor) of the Guaranteed Grand Prize agrees that he/she shall appear at any times and at any places deemed reasonably appropriate by Jackpot Rewards to accept the prize awarded, and to otherwise advertise, promote, or market Jackpot Rewards, it being understood that any such appearance will be on notice to the winner deemed reasonable by Jackpot Rewards, and it being further understood that the winner will be excused from any such appearance only should he/she have a prior commitment which cannot be postponed. The reasonable expenses of any such appearance shall be as solely determined by Jackpot Rewards, and will be borne by Jackpot Rewards.
4. Expenses not stated are the sole responsibility of the prize winner. No assignment, transfer or substitution of a prize is permitted. For the Guaranteed Grand Prize Jackpot Rewards in its sole discretion may award a substitute prize/prize component of equal or greater value if the advertised prize/prize component is unavailable at time of awarding for any reason. If a winner is a minor in his/her jurisdiction of residence, a prize may be awarded in the name of, or to, winner's parent/legal guardian who must execute all documents and agree to all obligations and undertakings of a winner, both on behalf of himself/herself and the winner, or the prize may be forfeited in its entirety. If a Guaranteed prize is forfeited it will be awarded to an alternate winner.
5. All taxes on prizes, if any, will be the sole responsibility of the winner to pay, and prizes will be reported as required by law, rule or regulation.
6. For potential Canadian prize winners: In addition to complying in full with these Official Rules a potential Canadian prize winner must correctly answer a 4-function mathematical skill-testing question, without assistance of any kind, whether mechanical, electronic or otherwise, before the participant can be declared the winner of any Prize. If the potential winner cannot correctly answer the question the prize will be forfeited in its entirety, and if the $1 Million prize is forfeited it will not be awarded, but if a Guaranteed prize is forfeited it will be awarded to an alternate winner.
7. No participant will be declared a winner until verification and compliance with these Official Rules are properly completed as solely determined by Jackpot Rewards, and the participant has received official notification of being declared a winner. If Jackpot Rewards, in its sole discretion, determines that an entrant with a winning entry in the Weekly Sweepstakes is not a valid winner, the prize will be forfeited in its entirety and will be awarded to an alternate winner.

Participants (and each participant's parent/legal guardian if a participant is a minor) agree (a) that Jackpot Rewards, its subsidiaries and affiliated companies, advertising and promotion companies, insurers, underwriters, resource and computer servicing companies and security agencies, and all of their respective officers, directors, employees, representatives and agents (individually and collectively referred to as "Jackpot Rewards, its affiliates and personnel") are released, will have no liability whatsoever for, and shall be held harmless by participants, entrants and winners against any liability for any injuries, losses or damages of any kind (whether due to negligence or otherwise) to person(s), including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, loss, misuse or use of the prize or participation in this Sweepstakes or any Sweepstakes related or travel related activities, and, (b) each winner (and his/her parent/legal guardian if a winner is a minor) grants permission to Jackpot Rewards and those acting under its authority the right to the use of his/her name, picture, likeness, voice, biographical information and statements, at any time or times, in perpetuity, for advertising, trade, publicity and promotional purposes without additional compensation, in all media now known or hereafter discovered, worldwide and on the Internet, World Wide Web and other media (except where such usage is legally prohibited), without notice, review or approval. Each potential winner (and his/her parent/legal guardian if a potential winner is a minor) may be required to complete, sign and return an Affidavit of Eligibility, a Liability Release, where lawful a Publicity Release, and provide Jackpot Rewards with a true copy of a government issued photo identification, for example valid drivers license or passport, within fourteen (14) days of date of notification. If documents are not returned timely, or if the prize notification or prize is returned as non-deliverable, or if the potential winner is found to be ineligible or otherwise not in compliance with these Official Rules, the prize will be forfeited in its entirety and if the $1 Million prize is forfeited it will not be awarded but if a Guaranteed prize is forfeited it will be awarded to an alternate winner. Winner's travel Guest (if applicable) must complete, sign and return a Liability Release, and where lawful, Publicity Release, prior to issuance of travel documents. If a travel Guest is the child or legal ward of the Winner, the Winner must complete, sign and return a Liability Release, and where lawful, a Publicity Release for and on behalf of the minor child. Once a travel Guest is selected, that Guest cannot be changed without the express written consent of the Jackpot Rewards which may be denied for any reason whatsoever.

Jackpot Rewards, its affiliates and personnel are not responsible for lost, late, misdirected, incomplete, postage due or non-delivered entries, mail or e-mail; or for interrupted or unavailable satellite, network, server, Internet Service Provider (ISP), Web site, telephone or other connections, availability or accessibility, or miscommunications, or failed computer, satellite, telephone or cable transmissions, or lines, or technical or programming error or failure or jumbled, corrupted, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures, or technical errors or difficulties, or other errors of any kind whether human, mechanical, electronic or network or the incorrect or inaccurate capture of registration, entry or other information or the failure to capture, or loss of, any information. Persons who tamper with or abuse any aspect of this Sweepstakes, as solely determined by Jackpot Rewards, will be disqualified. Any use of robotic, automatic, macro, programmed, third party or like entry methods will void all such entries by such methods, and disqualify any entrant using such methods. FORCE MAJEURE:
In the event of fire, flood, epidemic, earthquake, explosion, accident or other act of God, act of public enemy; act of government, including any governmental order, regulation or order of any court of competent jurisdiction; lockout, strike or other labor dispute; riot or civil commotion; war (whether declared or undeclared) or armed conflict; acts of terrorism; enactment of, rule, or order or act of government or governmental instrumentality (whether federal, provincial, state or local); or other cause of similar or different nature beyond Jackpot Rewards' control (all of which events are referred to herein as "force majeure events"), Jackpot Rewards shall have the right to terminate this Sweepstakes drawing without further obligations, if any, hereunder, or at Jackpot Rewards' sole option, to suspend the Sweepstakes drawing for a period equal to the duration and the effect of the duration of any such force majeure event.
LANGUAGES:
In the event that these Rules, or any advertising, promotion, or other written, printed, or graphic material, including but not limited to such materials appearing on the World Wide Web are presented in a language other than English and there is a discrepancy, inconsistency or interpretation issue between the English language version and the other language version of these Official Rules or of any materials, the English version shall prevail, govern and control. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.
ARBITRATION DISPUTE RESOLUTION/CHOICE OF LAW:
Except where prohibited, entrants agree that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or any prize awarded, or the determination of the winner, shall be resolved individually, without resort to any form of class action, and exclusively through final and binding arbitration by Eric Green of Resolutions, LLC or in his absence someone designated by him or Resolutions, LLC in accordance with the rules of Resolutions, LLC; and (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs directly associated with entering this Sweepstakes but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental and consequential damages and any and all rights to have damages multiplied or otherwise increased and for any other damages other than for actual out-of-pocket expenses. 1. This Daily $1,000 Sweepstakes ("Sweepstakes") is sponsored by Jackpot Rewards, Inc. ("Sponsor") and is offered and open only to legal residents of the United States, its territories and possessions (except Puerto Rico), Canada (except Quebec) and other countries and jurisdictions provided that their participation is not prohibited by applicable law, who are at least 18 years old at the time of participation. 2. PARTCIPATION IN SWEEPSTAKES:
1. Jackpot Rewards, its subsidiaries, affiliates, and partners will provide online methods of entering this Sweepstakes to Basic Members. A person can become a Basic in the following ways: (i.) complete an online registration form and agree to receive promotional emails and other communications from Jackpot Rewards, its subsidiaries, affiliates, and partners; (ii.) download an Application that Jackpot Rewards, its subsidiaries, affiliates, or partners offer that provides for entry into the Sweepstakes; or (iii) use a service that Jackpot Rewards, its subsidiaries, affiliates, or partners may offer that provides for entry into the Sweepstakes A Basic Member who completed an online registration who has not unsubscribed from receiving promotional emails and other communications from Jackpot Rewards, its subsidiaries, affiliates, and partners will receive one (1) entry into this Sweepstakes for each day during the Promotion Period that they are a Basic Member. A Basic Member who has unsubscribed from receiving promotional emails and other communications from Jackpot Rewards, its subsidiaries, affiliates, and partners is no longer a Basic Member and will not receive entry into this Sweepstakes for the days in which they have unsubscribed from their Basic Membership. A Basic Member who downloads an Application will receive one (1) entry into this Sweepstakes for each day during the Promotion Period that they maintain their Basic Membership and provided that they return to the Application every day to select numbers for their Basic Member entry. A Basic Member may earn entries by purchasing products or services, taking surveys, playing games, or engaging in other activities that Jackpot Rewards, its subsidiaries, affiliates, or partners offer that provide for entry into this Sweepstakes. 2. Premium Members will receive one (1) entry into this Sweepstakes for completing a Basic Member registration, downloading an Application, or using a service that Jackpot Rewards, its subsidiaries, affiliates, or partners may offer that provides for entry into the Sweepstakes and one (1) entry into this Sweepstakes for every day during the Promotion Period that they are a Premium Member. A Premium Member whose Premium membership is inactive during the Promotion Period because of an inability to process a payment due to invalid credit card or payment information provided by the Member is no longer a Premium Member but is instead a Basic Member as defined herein. A Premium Member who cancels their membership during the Promotion Period is no longer a Premium Member or Basic Member and will not receive any entry into this Sweepstakes for the days in which their Premium membership is cancelled. 3. Mail-In Entries/To Play Without Subscribing To Jackpot Rewards: To participate without becoming a Premium Member or a Basic Member, an entrant must neatly hand print in blue or black ink on a white 3 inch by 5 inch card or piece of paper your first and last name, your complete mailing address with zip or postal code, your daytime phone number, and email address if you have access to email. Mail the card or paper in a first class postage paid (metered mail is not accepted) envelope to: Jackpot Rewards, P.O. Box 8369, Elmhurst, IL 60126. While you may enter as often as you wish there is a limit of one card or piece of paper per postage stamped outer mailing envelope, and each outer mailing envelope must be hand printed. Further, the entrant's hand printed truthful return address must appear in the outer mailing envelope's upper left corner. All eligible mail-in entries for this Sweepstakes will also receive one (1) entry into Jackpot Rewards' Super Jackpot Sweepstakes. 4. Entries must be received and recorded by Jackpot Rewards computers by 11:59:59 p.m. ET on the day of the promotion described in Rule 2 in order to be eligible to win the prizes described in Rule 7 below.
5. Basic Members who have not downloaded the Toolbar can receive a maximum of 1,000 entries per day. Basic Members who have downloaded the Toolbar can receive a maximum of 2,000 entries. Premium Members who have completed and maintain a Basic Member registration or downloaded and maintain an Application that provide for entry into the Sweepstakes can receive a maximum of 2,000 entries per day and a maximum of 3,000 entries a day if they downloaded the Toolbar. Mail-in entries are unlimited.
WINNING ENTRY SELECTION/ODDS:
1. On or about the day following the Promotion Period a random drawing will be conducted to select two potential prize winners for that Sweepstakes from among all eligible entries received for that drawing. The random drawing will be conducted by, or under the supervision of, the Sponsor.
2. Odds. The odds of winning this Sweepstakes depend on the number of eligible entries received for the drawing.
WINNER NOTIFICATION:

For any drawing, Jackpot Rewards or a company acting on its behalf will attempt to notify on or before 5 business days after the drawing the potential winner(s) in person, by telephone, by mail, overnight mail, email, text or in such other manner as determined by Jackpot Rewards. Notice will be delivered and deemed made in accordance with the contact information provided to Jackpot Rewards when the participant registered for an entry into the Sweepstakes. Notice will be delivered to mail-in participants by using the contact information the mail-in participant included with their mail-in entry. It is the sole responsibility of each Sweepstakes participant to maintain their contact information current. Neither Jackpot Rewards nor any other person or entity shall have any responsibility or liability for failure to provide notice due to a Sweepstakes participant's failure to maintain their contact information current. Should Jackpot Rewards or a company acting on its behalf be unable to notify a potential prize winner, the prize may be forfeited and awarded to an alternate winner.
PRIZE AWARDS:
1. Two (2) prizes of $500 USD are available to be won. Each $500 prize will be awarded in the form of a check.
2. Expenses not stated are the sole responsibility of the prize winner. If a winner of the prize cannot accept a prize in person, the prize may be forfeited in its entirety. No assignment, transfer or substitution of a prize is permitted.
3. All taxes on prizes, if any, will be the sole responsibility of the winner to pay, and prizes will be reported as required by law, rule or regulation.
4. No participant will be declared a valid winner until verification and compliance with these Official Rules is properly completed as solely determined by Sponsor, and the participant has received official notification of being declared a winner. 5. LIABILITY LIMITATIONS:

FORCE MAJEURE:

In the event of fire, flood, epidemic, earthquake, explosion, accident or other act of God, act of public enemy; act of government, including any governmental order, regulation or order of any court of competent jurisdiction; lockout, strike or other labor dispute; riot or civil commotion; war (whether declared or undeclared) or armed conflict; acts of terrorism; enactment of, rule, or order or act of government or governmental instrumentality (whether federal, provincial, state or local); or other cause of similar or different nature beyond Sponsor's control (all of which events are referred to herein as "force majeure events"), Sponsor shall have the right to terminate this Sweepstakes drawing without further obligations, if any, hereunder, or at Sponsor's sole option, to suspend the Sweepstakes drawing for a period equal to the duration and the effect of the duration of any such force majeure event.
Languages:

In the event that these Rules, or any advertising, promotion, or other written, printed, or graphic material, including but not limited to such materials appearing on the World Wide Web are presented in a language other than English and there is a discrepancy, inconsistency or interpretation issue between the English language version and the other language version of these Official Rules or of any materials, the English version shall prevail, govern and control. ARBITRATION DISPUTE RESOLUTION/CHOICE OF LAW:

ELIGIBILITY:
1. This Back to School $100,000 Sweepstakes ("Sweepstakes") is sponsored by Jackpot Rewards, Inc. ("Sponsor") and is offered and open only to legal residents of the United States, its territories and possessions (except Puerto Rico), Canada (except Quebec) and other countries and jurisdictions provided that their participation is not prohibited by applicable law, who are at least 18 years old at the time of participation. Any person who is an employee, officer, or director of Sponsor or is directly connected with the management of the Sweepstakes, the Sweepstakes computer systems, or the Sweepstakes security systems is not eligible. This Sweepstakes is also void in any jurisdiction where prohibited.
2. Participation in the Sweepstakes constitutes entrant's full and unconditional agreement to, and acceptance of, these Official Rules including the agreement that all decisions of Sponsor are final and binding in all respects on all entrants. Winning a prize is contingent upon entrant fulfilling all requirements set forth in these Official Rules.
PROMOTION PERIOD/SWEEPSTAKES PERIODS:

The Promotion Period ("Promotion Period") for the Sweepstakes begins on June 16, 2009 at 12:00:01 a.m. United States Eastern Time (ET) and will end on August 15, 2009 at 11:59:59 p.m. ET.
HOW TO PARTICIPATE - OVERVIEW:

A person can participate in the Sweepstakes in the following ways: (i.) by completing an online registration form or other social networking application ("Application") that Jackpot Rewards, its subsidiaries, affiliates, or partners may offer that provide for entry into the Sweepstakes ("Basic Member"); (ii.) by downloading a toolbar that Jackpot Rewards, its subsidiaries, affiliates, or partners may offer that provides for entry into the Sweepstakes (the "Toolbar"); (iii.) by using the search function of the Toolbar; (iv.) by making one or more purchases using the shopping function of the Toolbar or online shopping mall that Jackpot Rewards, its subsidiaries, affiliates, or partners may offer that provides for entry into the Sweepstakes; (v.) by purchasing or receiving a subscription to Jackpot Rewards, or any other Premium Membership that Jackpot Rewards may offer that provides for entry into the Sweepstakes ("Premium Member"); (vi.) by purchasing any other product or service that Jackpot Rewards its subsidiaries, affiliates, or partners may offer that provide for entry into the Sweepstakes; (vii.) by taking surveys, playing games, or engaging in an other activities that Jackpot Rewards, its subsidiaries, affiliates, or partners may offer that provide for entry into the Sweepstakes; (viii.) by referring friends who register for a service or download an Application that Jackpot Rewards, its subsidiaries, affiliates, or partners may offer that provide for entry into the Sweepstakes pursuant to the applicable refer a friend program's terms and conditions; (ix.) by mail without becoming a Member. Members can also participate by mail if they desire to do so. This Sweepstakes may be presented in conjunction with different offers sponsored or co-sponsored by Jackpot Rewards, its subsidiaries, affiliates, and partners, and may be presented in conjunction with offers sponsored by different organizations. Sweepstakes may be presented in different creative presentations by different organizations.
PARTCIPATION IN SWEEPSTAKES:
1. Jackpot Rewards, its subsidiaries, affiliates, and partners will provide online methods of entering this Sweepstakes to Basic Members. A person can become a Basic in the following ways: (i.) complete an online registration form and agree to receive promotional emails and other communications from Jackpot Rewards, its subsidiaries, affiliates, and partners; (ii.) download an Application that Jackpot Rewards, its subsidiaries, affiliates, or partners offer that provides for entry into the Sweepstakes; or (iii) use a service that Jackpot Rewards, its subsidiaries, affiliates, or partners may offer that provides for entry into the Sweepstakes A Basic Member who completed an online registration who has not unsubscribed from receiving promotional emails and other communications from Jackpot Rewards, its subsidiaries, affiliates, and partners will receive one (1) entry into this Sweepstakes for each day during the Promotion Period that they are a Basic Member. A Basic Member who has unsubscribed from receiving promotional emails and other communications from Jackpot Rewards, its subsidiaries, affiliates, and partners is no longer a Basic Member and will not receive entry into this Sweepstakes for the days in which they have unsubscribed from their Basic Membership. A Basic Member who downloads an Application will receive one (1) entry into this Sweepstakes for each day during the Promotion Period that they maintain their Basic Membership and provided that they return to the Application every day to select numbers for their Basic Member entry. A Basic Member may earn entries by purchasing products or services, taking surveys, playing games, or engaging in other activities that Jackpot Rewards, its subsidiaries, affiliates, or partners offer that provide for entry into this Sweepstakes. A Basic Member who searches using the Toolbar receives two (2) entries for every ten (10) valid searches. A Basic Member can receive a maximum of four (4) search entries per day. A Basic Member who shops using the online Shopping Mall will receive one (1) entry for every $10 spent at participating partner merchants featured in the online shopping mall. A Basic Member who has downloaded the Toolbar and who shops using the Toolbar or the online Shopping Mall will receive two (2) entries for every $10 spent at participating partner merchants featured in the Toolbar and the online shopping mall. Basic Members will receive one (1) entry for each friend they recruit to download an Application that Jackpot Rewards, its subsidiaries, affiliates, or partners offer that provide for entry into the Sweepstakes pursuant to applicable refer a friend program's terms and conditions.
2. Premium Members will receive one (1) entry into this Sweepstakes for completing a Basic Member registration, downloading an Application, or using a service that Jackpot Rewards, its subsidiaries, affiliates, or partners may offer that provides for entry into the Sweepstakes and one (1) entry into this Sweepstakes for every day during the Promotion Period that they are a Premium Member. A Premium Member whose Premium membership is inactive during the Promotion Period because of an inability to process a payment due to invalid credit card or payment information provided by the Member is no longer a Premium Member but is instead a Basic Member as defined herein. A Premium Member who cancels their membership during the Promotion Period is no longer a Premium Member or Basic Member and will not receive any entry into this Sweepstakes for the days in which their Premium membership is cancelled. A Premium Member may earn entries by purchasing products or services, taking surveys, playing games, or engaging in other activities that Jackpot Rewards, its subsidiaries, affiliates, or partners offer that provide for entry into this Sweepstakes. A Premium Member who has downloaded the Toolbar will receive two (2) entry each day into this Sweepstakes for every friend in their applicable social networking Application friends network who is a Basic Member or Premium Member, pursuant to the terms and conditions of the applicable social networking Application, up to a maximum of two hundred (200) entries per day.
3. Mail-In Entries/To Play Without Becoming a Member: To participate without becoming a Premium Member or a Basic Member, an entrant must neatly hand print in blue or black ink on a white 3 inch by 5 inch card or piece of paper your first and last name, your complete mailing address with zip or postal code, your daytime phone number, and email address if you have access to email. Mail the card or paper in a first class postage paid (metered mail is not accepted) envelope to: Jackpot Rewards, P.O. Box 8369, Elmhurst, IL 60126. While you may enter as often as you wish there is a limit of one card or piece of paper per postage stamped outer mailing envelope, and each outer mailing envelope must be hand printed. Further, the entrant's hand printed truthful return address must appear in the outer mailing envelope's upper left corner. All eligible mail-in entries for this Sweepstakes will also receive one (1) entry into Jackpot Rewards' Super Jackpot Sweepstakes. 4. Entries must be received and recorded by Jackpot Rewards' computers by 11:59:59 p.m. ET on August 15, 2009, the last day of the Promotion Period as described in Rule 2, in order to be eligible to win the $100,000 prize.
5. Basic Members who have not downloaded the Toolbar can receive a maximum of 1,000 entries per day. Basic Members who have downloaded the Toolbar can receive a maximum of 2,000 entries. Premium Members who have completed and maintain a Basic Member registration or downloaded and maintain an Application that provide for entry into the Sweepstakes can receive a maximum of 2,000 entries per day and a maximum of 3,000 entries a day if they downloaded the Toolbar. Mail-in entries are unlimited.
WINNING ENTRY SELECTION/ODDS:
1. Ten Finalists: On or before August 29, 2009, a random drawing will be conducted to select ten (10) finalists to be the potential prize winner for this Sweepstakes from among all eligible entries received for the drawing. The random drawing will be conducted by, or under the supervision of, the Sponsor. On or before September 7, 2009, a random drawing will be conducted to select a potential winner from the ten (10) finalists. The random drawing will be conducted by, or under the supervision of, the Sponsor.
2. Odds: The odds of winning this Sweepstakes depend on the number of eligible entries received for the drawing.
WINNER NOTIFICATION:

For the drawings, Jackpot Rewards or a company acting on its behalf will attempt to notify on or before five (5) business days after the drawing the ten (10) finalists and potential winner(s) in person, by telephone, by mail, overnight mail, email, text or in such other manner as determined by Jackpot Rewards. Notice will be delivered and deemed made in accordance with the contact information provided to Jackpot Rewards when the participant registered for an entry into the Sweepstakes. Notice will be delivered to mail-in participants by using the contact information the mail-in participant included with their mail-in entry. It is the sole responsibility of each Sweepstakes participant to maintain their contact information current. Neither Jackpot Rewards nor any other person or entity shall have any responsibility or liability for failure to provide notice due to a Sweepstakes participant's failure to maintain their contact information current. Should Jackpot Rewards or a company acting on its behalf be unable to notify a finalist by June 29, 2009, the finalist will forfeit their chance to participate in the final drawing of this Sweepstakes. Should Jackpot Rewards or a company acting on its behalf be unable to notify a potential prize winner, the Prize may be forfeited and awarded to an alternate winner.
PRIZE AWARDS:
1. One (1) prize of $100,000 USD is available to be won. The $100,000 prize will be awarded in the form of a check.
2. Finalists and Winner agrees that he/she shall appear at any times and at any places deemed reasonably appropriate by Sponsor to accept the prize awarded, and to otherwise advertise, promote, or market Sponsor, it being understood that any such appearance will be on notice to the finalists and winner deemed reasonable by Sponsor, and it being further understood that the finalists and winner will be excused from any such appearance only should he/she have a prior commitment which cannot be postponed. The reasonable expenses of any such appearance shall be as solely determined by Sponsor, and will be borne by Sponsor.
3. Expenses not stated are the sole responsibility of the prize winner. If a winner of the Prize cannot accept a prize in person, the prize may be forfeited in its entirety. No assignment, transfer or substitution of a prize is permitted.
4. All taxes on prizes, if any, will be the sole responsibility of the winner to pay, and prizes will be reported as required by law, rule or regulation.
5. No participant will be declared a valid winner until verification and compliance with these Official Rules is properly completed as solely determined by Sponsor, and the participant has received official notification of being declared a winner. If Sponsor, in its sole discretion, determines that an entrant with a winning entry is not a valid winner, the prize will be forfeited and will be awarded to an alternate winner.
6. For potential Canadian prize winners: In addition to complying in full with these Official Rules a potential Canadian prize winner must correctly answer a 4-function mathematical skill-testing question, without assistance of any kind, whether mechanical, electronic or otherwise, before the participant can be declared the winner of any Prize. If the potential winner cannot correctly answer the question the prize will be forfeited and awarded to an alternate winner.
GENERAL CONDITIONS:

Each potential winner (and his/her parent/legal guardian if a finalist or potential winner is a minor) will be required to complete, sign and return an Affidavit of Eligibility, a Liability Release, and where lawful a Publicity Release, and provide Sponsor with a true copy of a government issued photo identification, for example valid driver's license or passport, within fourteen (14) days of date of notification. In the event that production, technical, programming, digital or any other reasons cause more than the stated number of prizes in any prize category, as set forth in these Official Rules, to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes in that prize category by a random drawing among all legitimate, unawarded, eligible prize claims.

Proof of submission does not constitute proof of receipt. If there is a dispute as to the identity of an online entrant, the prize will be awarded to the authorized account holder of the email address used to submit the entry. The "authorized account holder" is defined as the natural person to whom the email address is assigned by an internet service provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

In the event that any provision or portion of a provision is determined to be invalid or otherwise unenforceable or illegal, the balance of these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision or portion of a provision were not contained herein. Headings and captions are used in these Official Rules solely for ease of reference, and shall not be deemed to affect in any manner the meaning or intent of these Official Rules or any provision or portion of a provision hereof. FORCE MAJEURE:

In the event of fire, flood, epidemic, earthquake, explosion, accident or other act of God, act of public enemy; act of government, including any governmental order, regulation or order of any court of competent jurisdiction; lockout, strike or other labor dispute; riot or civil commotion; war (whether declared or undeclared) or armed conflict; acts of terrorism; enactment of, rule, or order or act of government or governmental instrumentality (whether federal, provincial, state or local); or other cause of similar or different nature beyond Sponsor's control (all of which events are referred to herein as "force majeure events"), Sponsor shall have the right to terminate this Sweepstakes drawing without further obligations, if any, hereunder, or at Sponsor's sole option, to suspend the Sweepstakes drawing for a period equal to the duration and the effect of the duration of any such force majeure event.

In the event that these Rules, or any advertising, promotion, or other written, printed, or graphic material, including but not limited to such materials appearing on the World Wide Web are presented in a language other than English and there is a discrepancy, inconsistency or interpretation issue between the English language version and the other language version of these Official Rules or of any materials, the English version shall prevail, govern and control. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.
ARBITRATION DISPUTE RESOLUTION/CHOICE OF LAW:

Except where prohibited, entrants agree that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or any prize awarded, or the determination of the finalists and winner, shall be resolved individually, without resort to any form of class action, and exclusively through final and binding arbitration by Eric Green of Resolutions, LLC or in his absence someone designated by him or Resolutions, LLC in accordance with the rules of Resolutions, LLC; and (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs directly associated with entering this Sweepstakes but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental and consequential damages and any and all rights to have damages multiplied or otherwise increased and for any other damages other than for actual out-of-pocket expenses.
